This work is a user-friendly software program designed to create draft international distribution agreements. The user is asked to answer a series of questions, inputting essential information specific to the contract being created. The software program then inserts that information into the relevant form agreement, provides warnings and practice points as information is entered that triggers a potential risk or problem, adds or deletes contractual provisions based on the business options chosen, and attaches to the draft contract generated by the program country-specific legal memoranda prepared by prominent law firms in 56 countries. These memoranda point out potential problems and suggest modifications so that an agreement would be enforceable in a particular jurisdiction.
